1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of PremierPulse ("the Service"). By accessing or using the Service through our website at premier-pulse.app or our mobile application, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including but not limited to visitors, registered users, and content contributors. Please read these Terms carefully before using the Service.

2. Description of Service

PremierPulse is a comprehensive video platform designed for football (soccer) fans. The Service provides the following features:

• Video Browsing: Browse and watch football-related videos across various genres, including match highlights, tactical analysis, player interviews, and stadium atmosphere footage.
• Match Information: Access match schedules, fixtures, scores, and related match data. Please note that this information is provided for informational purposes and its accuracy is not guaranteed.
• Stadium Data: View detailed information about football stadiums, including location, capacity, and home team data.
• Playlists: Create, curate, and share playlists of your favorite videos.
• AI-Generated Summaries: Access artificial intelligence-generated video summaries and analyses powered by the Google Gemini API. AI-generated content is provided for reference purposes only and its accuracy or completeness is not guaranteed.
• Short Videos: Upload and share short video clips of up to 60 seconds in length.

The Service is delivered via Cloudflare Workers edge computing infrastructure, enabling fast access for users worldwide. However, service availability and performance may vary depending on network conditions and other factors.

3. User Accounts

Certain features of the Service require you to create a user account.

3.1 Registration

Account registration is conducted through Apple Sign-in. The information provided during registration must be accurate and current. Creating accounts using false or misleading information is prohibited.

3.2 Account Security

You are responsible for maintaining the security of your account. Do not share your account credentials with any third party. If you discover or suspect any unauthorized use of your account, please contact us immediately. You are responsible for all activities that occur under your account.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account without prior notice in the following circumstances:

• Violation of these Terms
• Suspected involvement in illegal activities
• Confirmed harassment or disruptive behavior toward other users
• Extended period of account inactivity
• Any other circumstance where we determine that account suspension or termination is appropriate

4. User-Generated Content

4.1 Content Creation

Registered users may create and manage playlists, and upload short videos of up to 60 seconds in length on the Service. All content created or uploaded by users ("User Content") must comply with these Terms and all applicable laws.

4.2 Content Ownership

You retain intellectual property rights over the User Content you create and upload. However, by uploading User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content for the purposes of operating, improving, and promoting the Service.

4.3 Content Removal

We reserve the right to remove, without prior notice, any content that violates these Terms, is illegal, infringes upon the rights of other users or third parties, or is otherwise deemed inappropriate at our sole discretion. Upon receiving a copyright infringement claim, we will respond promptly in accordance with applicable law.

4.4 Content Responsibility

You bear full responsibility for the content you upload. Do not upload content that infringes upon copyright, trademark, privacy rights, publicity rights, or any other third-party rights.

5. Intellectual Property

The platform design, source code, logos, branding, user interface, and other proprietary content of the Service (excluding User Content) are protected by copyright, trademark, and other intellectual property rights belonging to us or our licensors.

You may not reproduce, distribute, modify, reverse-engineer, or use the Service's content for commercial purposes without our prior written consent. These Terms reserve all rights not expressly granted.

You are obligated to respect the intellectual property rights of third parties. Any action that infringes upon the copyright, trademark, patent, or other intellectual property rights of others is strictly prohibited.

6. YouTube Content

The Service embeds YouTube videos within the platform. These videos are hosted on YouTube's servers and are not copied or stored on our servers.

When you view YouTube videos through the Service, the YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy) also apply.

YouTube video embedding on the Service is performed using YouTube's official embedding functionality for educational and informational purposes. The Service does not claim ownership of any YouTube content, and the copyright of each video belongs to its respective rights holder.

7. Prohibited Conduct

The following activities are prohibited when using the Service:

• Illegal Activities: Any action that violates applicable laws, ordinances, or regulations, or that encourages such violations.
• Harassment and Discrimination: Harassment, intimidation, defamation, or hate speech directed at other users. Posting discriminatory content based on race, ethnicity, nationality, gender, religion, sexual orientation, disability, or other protected characteristics.
• Spam and Automated Access: Sending unsolicited advertising or promotional messages (spam). Accessing the Service through bots, scrapers, or other automated means. Circumventing API rate limits.
• Security Breaches: Attempting to circumvent, disable, or interfere with the Service's security features. Unauthorized access to other users' accounts. Attacks on the Service's infrastructure, including but not limited to DDoS attacks.
• Copyright Infringement: Uploading, distributing, or sharing copyrighted content without the rights holder's permission. Circumventing digital rights management (DRM) protections.
• Fraudulent Behavior: Creating accounts using false information, impersonating others, or abusing the Service's features.
• Harmful Content: Uploading or distributing malware, viruses, or other harmful code or files.

If any of the above prohibited activities are confirmed, we reserve the right to take necessary actions, including account suspension, content removal, and legal proceedings.

8. Advertisements

The Service may display advertisements through Google AdSense. These advertisements may be personalized based on your browsing data and cookies.

Google's privacy policy and advertising policies apply to the display of advertisements. You may opt out of personalized advertising through your browser settings or Google's ad settings page.

We do not endorse the content, products, or services of any advertiser and accept no responsibility for transactions related to advertisements.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. We make no warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or any other warranty.

We do not warrant that:

• The Service will be available at all times without interruption
• The Service will be free of errors, bugs, or security vulnerabilities
• Match data, scores, and schedule information provided through the Service will be accurate, complete, or up to date
• AI-generated content, including video summaries and analyses, will be accurate
• The Service will meet your specific requirements

Match data and score information are provided for informational purposes only and should not be used as the basis for gambling or other financial decisions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (including but not limited to loss of data, loss of profits, business interruption, or costs of procuring substitute services) arising out of or related to the use or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability shall not exceed the lesser of the amount you paid to the Service in the twelve (12) months preceding the event giving rise to the liability, or 10,000 Japanese Yen (JPY).

11. Indemnification

You agree to indemnify, defend, and hold harmless PremierPulse and its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

If any provision of these Terms is found to be invalid, the remaining provisions shall continue in full force and effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When significant changes are made, we will notify you through a notice on the Service's website or via your registered email address.

Revised Terms become effective upon posting on the website. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of those changes. For significant changes, a grace period of 30 days from the date of notification will be provided.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be interpreted to the maximum extent possible to achieve its intended purpose, and the remaining provisions shall continue in full force and effect.

Our failure to exercise any right under these Terms shall not constitute a waiver of that right.
